ARTICLES OF DISSOLUTION OF
TROPHY CLUB COMMUNITY IMPROVEMENT ASSOCIATION
Pursuant to the provisions of Article 6.05 of the Texas Non-Profit Corporation Act, TROPHY CLUB
COMMUNITY IMPROVEMENT ASSOCIATION,the undersigned corporation adopts the following Articles
of Dissolution:
I.
The name of the corporation is TROPHY CLUB COMMUNITY IMPROVEMENT ASSOCIATION.
II.
A resolution to dissolve was adopted at a meeting of members held on February 25, 2002.
A quorum was present at this meeting, and the resolution to dissolve received at least two-thirds of the votes that
the members present at the meeting or represented by proxy at the meeting were entitled to cast.
III.
All debts, obligations, and liabilities of the corporation have been paid and discharged, or adequate
provision has been made for their satisfaction.
IV.
All remaining property and assets of the corporation have been transferred., conveyed, or distributed in
accordance with the provisions of the Texas Non-Profit Corporation Act.
V.
There are no suits pending against the corporation in any court.
