The Town Council of the Town of Trophy Club, Texas, met in a Special Session on Monday, March 2, 2015. The
meeting was held within the boundaries of the Town and was open to the public.

Mayor Sanders announced the date of Monday, March 2, 2015, called the Town Council to order and announced a
quorum at 8:12 a.m.
SPECIAL SESSION
1. Consider and take appropriate action regarding the appointment of Stephen Seidel as Town Manager and
his employment agreement with the Town; and authorizing the Mayor or his designee to execute necessary
documents.
The Town Council went into Executive Session to discuss item as posted for Item 2 (A).
EXECUTIVE SESSION
2. Pursuant to the following designated sections of Texas Government Code, Annotated, Subchapter 551
(Texas Open Meetings Act), the Council will enter into executive session to discuss the following items:
A. Section 551.074(a)(1), Personnel Matters. To discuss or deliberate the appointment, employment,
evaluation, reassignment, duties, discipline or dismissal of a public officer or employee pursuant to
Section 551.074 (a)(1) of the Texas Open Meetings Act:

3. Consider and take appropriate action regarding the Executive Session.
Discussion took place regarding Stephen Seidel's Employment Agreement specific to the following sections: Term;
Compensation; Town Manager Benefits; Buy -Out; Performance Evaluation; and Conflict of Interest. Additional
discussion ensued regarding his annual reviews and possible raises.
Motion made by Council Member Rowe, seconded by Mayor Pro Tem Lamont, to extend an offer of employment
to Acting Town Stephen Seidel for the position as Town Manager, with the Employment Contract as amended in
this session, including the increase of base salary to $152,450, and authorizing the Mayor to execute necessary
documents.
Motion passed unanimously.
ADJOURN
Motion made by Council Member Rowe, seconded by Council Member Parrow, to adjourn. Motion carried
unanimously. Meeting adjourned at 9:47 a.m.
